These Terms and Conditions ("Terms") govern your access to and use of the Hansell mobile and web application (the "App") operated by Hansell, Inc. ("Hansell", "we", "our" or "us"). By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the App.

1. Eligibility and Acceptance

1.1. You affirm that you are at least 18 years of age or the legal age of majority in your jurisdiction, and that you have the legal capacity to enter into these Terms.

1.2. By using the App, you accept and agree to these Terms and our Privacy Policy, incorporated herein by reference.

2. Use of the App

2.1. The App is designed to help landlords and tenants manage property listings, payments, and service requests.

2.2. You agree to use the App only for lawful purposes and in accordance with these Terms.

3. Data Use and Research

3.1. By using the App, you grant Hansell a non-exclusive, worldwide, royalty-free, sublicensable license to collect, store, process, and use your data (including, but not limited to, property information, payment history, and usage metrics) in aggregated or anonymized form for research, analysis, product improvement, marketing, and other business purposes.

3.2. Hansell will not share personally identifiable information in published research without your explicit consent; however, anonymized and aggregated data may be used publicly.

4. Payment Processing and Property Issues

4.1. The App provides tools to record and remind you of rent payments and other charges, but Hansell is not a payment processor, escrow agent, or property manager.

4.2. Hansell does not set or impose any fees or charges; it solely processes payments arising from the agreement between landlords and tenants, including system-generated charges. Hansell does not create payment obligations and is not responsible for collecting overdue payments.

4.3. Hansell acts solely as a property-management tool and does not inspect, maintain, or control the physical condition of any property listed or managed through the App. You acknowledge and agree that all issues, damages, defects, repairs, or service requirements related to any property are the exclusive responsibility of the landlord or property owner, and Hansell is fully disclaimed from any liability arising therefrom.

5. Payment Terms

5.1. Fees & Billing. You agree to pay all fees specified for your chosen plan or transaction type. Unless otherwise stated, fees are billed in advance on a monthly basis to the payment method you provide and automatically renew until you cancel. By providing a payment method, you authorize Hansell to charge all applicable fees.

5.2. Taxes. All fees are exclusive of taxes. You are responsible for any sales, use, VAT, or other taxes owed on the fees charged.

5.3. Refunds & Cancellations. Unless otherwise set forth on our pricing page, all fees are non-refundable. You may cancel your subscription at any time, but no partial-period refunds will be issued.

5.4. Payment Processing. Payments are processed through [Stripe/PayPal/etc.]. You agree to comply with their terms and acknowledge that Hansell does not store or view your full payment details.

5.5. Payment Failures. If a payment is not successfully settled, we may suspend or terminate your access to paid features until you update your payment method and settle any outstanding balance.

5.6. Disputes. If you believe we have billed you in error, contact us at support@hansell.app within 30 days of the charge for review and resolution.

6. Authentication of Property Ownership

6.1. Hansell may provide information on property ownership based on user-submitted documents or third-party records, but Hansell does not guarantee the accuracy or authenticity of those records.

6.2. You agree that Hansell shall have no responsibility or liability for scams, fraud, misrepresentations, or any manipulation of property ownership, listings, or related information. You assume all risks associated with verifying a property owner’s identity and title.

7. Disclaimers and Limitation of Liability

7.1. The App and all content, features, and functionality are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied.

7.2. To the maximum extent permitted by law, Hansell disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7.3. In no event shall Hansell, its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to these Terms or your use of (or inability to use) the App, including but not limited to lost profits, loss of data, or business interruption—regardless of legal theory.

8. Indemnification

You agree to indemnify, defend, and hold harmless Hansell and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the App, your violation of these Terms, or your breach of any rights of a third party.

9. Intellectual Property

9.1. All intellectual property rights in the App and its content are owned by Hansell or its licensors. You may not copy, modify, distribute, sell, or lease any part of our intellectual property without our prior written consent.

10. Modifications to Terms or the App

10.1. Hansell reserves the right to modify, suspend, or discontinue the App (or any part thereof) and these Terms at any time. We will provide notice of material changes via the App or email.

10.2. Your continued use of the App after such modifications constitutes your acceptance of the revised Terms.

11. Governing Law and Dispute Resolution

11.1. These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law provisions.

11.2. Any legal action or proceeding between you and Hansell arising out of or related to these Terms shall be instituted exclusively in the state or federal courts located in Atlanta, Georgia.
